Microsoft failed to acquire Blizzard?

Microsoft is attempting to persuade regulators around the world to clear its $68.7 billion acquisition of Activision Blizzard — the biggest deal of its kind the gaming industry has ever seen. This M&A contract will expire on July 18th, but the period can be extended. If the deal falls through, Microsoft will have to pay a termination fee of up to $3 billion.

My curiosity was why mergers of these large corporations are already happening in many fields, but why are they particularly regulated by the government in the game industry?
